RECEIVERSHIPS
Typically initiated when a company or individual is in financial distress, such as insolvency, and is unable to meet their financial obligations. A court will appoint a receiver to manage the property, business, or assets of a company or individual. The main objective of a receivership is to protect and preserve the assets, maximize their value, and distribute the proceeds to creditors and other stakeholders in accordance with legal priorities.

BAIFI was an EB-5 sponsored project which raised funds from foreign investors and lent to a development corporation to fund the development and construction of a mixed use development on two parcels of property in Fremont, CA. The Receiver collected the books and records and complied with the Court ordered procedure for review of the documents. She made recommendations as to ongoing management and pending litigation to which BAIFI was a party.

The asset manager engaged and worked with property managers and brokers in response to the property needs/requirements including leasing, tenant relations, tenant improvements, deferred maintenance, contracting for services and rent negotiations with current and proposed new tenants. She worked on the sale of a Tahoe property and arranged for the sale of the Portland property. She worked closely with counsel to the parties and held monthly property meetings and issued monthly reports.

San Francisco Regional Center was the USCIS approved regional center for seven EB-5 programs where approximately 200 investors were seeking to invest in job creation programs, earn a return on their investment and obtain a permanent U.S. Visa as a way towards U.S. residency. Over $100 million was raised from investors.
The Court ordered the marketing and sale of Runway, a technology innovation hub for entrepreneurs and corporate partners with co-working space, corporate partners, events, and accelerators. Runway was located at the Twitter Building at 1355 Market Street, San Francisco, California. The lease was assumed, and all assets sold for an initial bid of $525,000 and a final overbid of $1,550.000.
In June 2017 the Order Extending Scope of Receivership added Comprehensive Care of California, LLC; Comprehensive Care of Oakland, LP; North America 2 PL, LLC; and Berkeley Healthcare Dynamics, LLC (Monitor defendants) to the receivership action. The Comprehensive Care property located at 1833 and 1851 20th Avenue, Oakland, CA is a 99-bed skilled nursing facility with 25,000 sq. feet and a corner house with 3,884 sq. feet.The Berkeley Healthcare Dynamics property is a 92,000 sq. foot industrial warehouse with 9 loading docks located at 1700 20th Street, Oakland, CA. North America 3PL, LLC was an operating logistics business with contracts with the Port of Oakland. The Court ordered the closing of the North America 3PL, LLC logistics business. Pursuant to order of the Court, the personal property of NA3PL was sold by auction.
In October 2017 the Court Ordered the closing of the Call Socket II, LP Call Center.
The Court ordered the marketing and sale of the JL Gateway Shopping Center located at 800-900 Market Street in Oakland, California in October 2017. The property included a 5-acre parcel with a single story leased retail center, a 3,000 sq. foot KFC drive through, a 7,200 sq. foot McDonald’s drive through and 58,000 sq. ft. commercial condominium Unit 1. The property was sold in May 2018 for $9,375,000.
Pursuant to order of the Court, the personal property of Central California Farms, LLC was sold for $45,000. Additionally, the real property was deeded to Tipton Investment Holding, LLC, the lender per Court order because it was worth less than the secured debt.
In 2019 the Court ordered the marketing and sale of 666 Mandana Blvd., a single family home, located in Oakland, CA. The property was sold in August 2019 for $1,827,770.00.
A forensic accounting was completed and a summary filed with the Court. A Motion for Consolidation was filed by the receiver and approved by the Court. A Distribution Plan was proposed and approved by the Court.
The Receiver continued to work with immigration counsel regarding the USCIS Notice of Intent to Terminate (NOIT) the regional center and other immigration related issues.
The Receiver issued three distributions to unsecured creditors and investors from 2021 through 2023 for a total of 34.9249% on allowed claims or almost $40 million to creditors.

Unit #6 was foreclosed upon shortly after appointment while #8 was sold for $900,000 and #11 was subject to foreclosure as well. Another property located at 1550 Park Avenue, Emeryville, California was foreclosed even though the Receiver attempted to sell it prior to foreclosure. It was a 112,000 square foot commercial property zoned industrial.

The CS, LP call center was closed pursuant to an order of the Court. The CallSocket II, LP call center continued to operate in Oakland, CA but relocated from the Tribune Tower to the Dufwin building. Both call center operations were EB5 projects and subject to USCIS requirements.
